MUHEN provides web design, development, and sales funnel creation services specifically tailored for coaches, course creators, and entrepreneurs.

Our services include but are not limited to:

- Website design and development

- Sales funnel creation and optimization

- Digital strategy consulting

- Ongoing website and funnel maintenance

3. Client Relationships

3.1 Project Scope

All projects begin with a clearly defined scope of work outlined in a separate service agreement. Any modifications to the agreed scope must be documented in writing and may affect pricing and timeline.

3.2 Client Responsibilities

Clients agree to:

- Provide necessary content and materials in a timely manner

- Review and provide feedback within agreed timeframes

- Maintain open communication throughout the project

- Provide accurate information for project requirements

4. Payment Terms

4.1 Pricing

- Pricing is established in individual service agreements

- All prices are in USD unless otherwise specified

- Payment schedules will be outlined in the service agreement

4.2 Payment Methods

We accept:

- Credit/debit cards

- Bank transfers

- Other payment methods as specified in the service agreement

4.3 Late Payments

- Late payments may incur additional fees

- Services may be suspended until payment is received

- Continuous late payments may result in contract termination

5. Intellectual Property

5.1 Client Content

- Clients retain ownership of their original content

- Clients must have proper rights to all provided content

- Clients grant MUHEN license to use content for service delivery

5.2 MUHEN Property

- MUHEN (Ax Huecas) retains ownership of our proprietary frameworks and methodologies

- The P.R.I.M.E framework remains the intellectual property of MUHEN

- Custom code and designs become client property upon full payment

6. Confidentiality

6.1 Client Information

We maintain strict confidentiality of:

- Business strategies and plans

- Client data and information

- Proprietary methodologies

- Financial information

6.2 Data Protection

We implement industry-standard security measures to protect client information and comply with applicable data protection regulations.

7. Project Delivery

7.1 Timelines

- Project timelines are estimated in good faith

- Delays caused by client actions may affect delivery dates

- Force majeure events may impact project timelines

7.2 Revisions

- Number of revisions included in the project scope will be specified in the service agreement

- Additional revisions may incur extra charges

- Major changes may require a new service agreement

8. Termination

8.1 Termination by Client

- Clients may terminate services as specified in their service agreement

- Early termination fees may apply

- Delivered work must be paid for in full

8.2 Termination by MUHEN

We reserve the right to terminate services if:

- Client violates these Terms

- Payment obligations are not met

- Client conduct is harmful to our business

9. Limitation of Liability

9.1 Service Warranty

- Services are provided "as is" without warranty

- We do not guarantee specific business results

- Technical issues beyond our control are not our responsibility

9.2 Liability Cap

Our liability is limited to the amount paid for services in the previous 12 months.

10. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website.

12. Governing Law and Jurisdiction

12.1 Choice of Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines, specifically:

- The Civil Code of the Philippines

- The E-Commerce Act of 2000 (RA 8792)

- Other applicable Philippine laws and regulations

12.2 Dispute Resolution

- Any dispute arising from or relating to these Terms shall first be attempted to be resolved through good-faith negotiation between parties.

- If negotiation fails, parties agree to mandatory mediation before pursuing legal action.

- If mediation is unsuccessful, disputes shall be resolved through arbitration in Metro Manila, Philippines, under the rules of the Philippine Dispute Resolution Center, Inc. (PDRCI).

12.3 International Clients

- For international clients, the United Nations Convention on Contracts for the International Sale of Services (CISG) shall apply where appropriate.

- Nothing in these Terms shall deprive consumers of their rights under mandatory consumer protection laws in their jurisdiction of residence.

12.4 Language

- These Terms are written in English, which shall be the controlling language for all aspects.

- Any translations are provided for convenience only and shall not be binding.

12.5 Severability

If any provision of these Terms is found to be unenforceable in any jurisdiction, such provision shall be modified to the minimum extent necessary to make it compliant with applicable law, or if modification is not possible, shall be severed from these Terms, while the remaining provisions remain in full force and effect.
